Tata Consumer Products (TCPL) is reportedly in advanced discussions to acquire Danone SA’s India nutrition and specialised nutrition business, marking a major step in the Tata group’s expansion into the fast-growing health and wellness market.
If the deal goes through, it would give Tata Consumer entry into the infant nutrition and protein segments, putting it in direct competition with established players such as Nestlé and Abbott. Danone’s India nutrition portfolio includes well-known brands like Protinex, Farex and Dexolac, which operate across baby nutrition and adult protein supplements.
The potential acquisition aligns with Tata Consumer’s strategy to move beyond its core tea and staples business. Over the past few years, the company has strengthened its wellness portfolio through acquisitions such as Soulfull, Capital Foods and Organic India, while also expanding into protein-rich foods, organic staples and functional beverages.
Industry experts believe protein and specialised nutrition are among the fastest-growing categories in FMCG. According to Abneesh Roy of Nuvama Institutional Equities, Tata Consumer has been actively scouting acquisitions to enter new growth segments, with protein emerging as a key battleground for major FMCG players.

India’s nutrition market has gained momentum in the post-pandemic period, driven by rising health awareness and demand for preventive healthcare products. With around 23 million births every year and a rapidly ageing population, specialised nutrition remains a high-potential segment.
Danone, which acquired the India nutrition business from Wockhardt in 2012 for Rs 1,576 crore, has seen multiple strategic shifts over the years, including its exit from dairy operations in India. Neither Danone nor Tata Consumer Products has officially commented on the ongoing discussions.
If finalised, the acquisition could significantly strengthen Tata Consumer’s presence in the nutrition and wellness space, reinforcing its ambition to become a broader FMCG and health-focused powerhouse in India.
